Terms of Service

1. Agreement to These Terms

Chalk ("Chalk" or "the Service") is provided by Thayes Ventures LLC ("we", "us", "our"). These Terms of Service ("Terms") are a legal agreement between you and Thayes Ventures LLC. They cover the Chalk website, the Chalk web app, and the Chalk iOS app, along with the tutor, the whiteboard, lessons, and every other feature we offer through them.

You agree to these Terms when you check the box agreeing to them while creating an account, when you sign in, or when you use the Service. Our Privacy Policy explains how we handle your information and is part of these Terms. If you do not agree, do not use the Service.

2. The Service

Chalk is an AI-powered math tutoring app. A conversational AI tutor works through problems with you on an interactive whiteboard, by text, by voice, and from photos or files you share. To do this, the Service relies on third-party providers that generate the tutor's replies, transcribe what you say, and produce the tutor's voice. Features, tutor voices, the AI models we use, and the subjects we cover may change over time, and we may add, change, or remove features.

3. Who Can Use Chalk

• Age. You must be at least 13 years old to use the Service. If you are under 13, do not use Chalk or create an account. If we learn that an account belongs to someone under 13, we may close it and delete its data.
• Students under 18. If you are 13 to 17 (or under the age of majority where you live), a parent or legal guardian must review and agree to these Terms for you. A parent or guardian who allows a minor to use Chalk agrees to these Terms on the minor's behalf, is responsible for the minor's use of the Service, and is responsible for any purchases made on the account.
• Telling the truth about your age. You must not misstate your age, or the consent of a parent or guardian, to use the Service.
• Legal use. You may not use the Service if the law where you live forbids it, or if we have previously suspended or closed your account for breaking these Terms, unless we have told you in writing that you may come back.

4. Your Account

• Give accurate information when you create your account, and keep it up to date.
• Keep your sign-in details (your password, or your Google or Apple account) secure. You are responsible for what happens on your account.
• An account is for one student. A parent or guardian may set up and help with their own teen's account, but don't share an account between students, sell it, or let anyone else use it.
• One account per person. Don't create extra accounts to get more free trials, free sessions, or messages, or to come back after we have paused, suspended, or closed an account.
• Tell us right away at support@try-chalk.com if you think someone else has used your account.

5. Acceptable Use

Chalk is for learning math. You agree not to do, try to do, or help anyone else do any of the following:

• Extract or manipulate the tutor's setup. Deliberately try to get the tutor to reveal, repeat, paraphrase, summarize, translate, confirm, or change its instructions, prompts, rules, or configuration; use "prompt injection" or similar techniques to make the tutor ignore its instructions or act outside its purpose; or collect the tutor's responses in order to reconstruct how it is set up.
• Copy or reverse-engineer the Service. Copy, decompile, disassemble, or reverse-engineer any part of the Service, its code, or the way it works, except to the extent the law expressly allows despite this restriction.
• Automate it. Use bots, scripts, scrapers, crawlers, or other automated means to access the Service, send messages, or collect content or data from it, other than the ordinary use of a web browser or our app.
• Build on it without permission. Use the Service, or anything you get from it, to build, train, test, or improve a competing product or any AI or machine-learning model, or to benchmark the Service for publication.
• Resell it. Sell, rent, sublicense, or otherwise commercially offer access to the Service, or use it to provide tutoring or other services to anyone else.
• Get around limits. Avoid or interfere with message allowances, fair-use limits, free-trial or free-session limits, pauses, payment requirements, or any other limit or access control, including by creating multiple accounts.
• Attack it. Probe, scan, or test the Service for security weaknesses, or break or get around its security or authentication, without our written permission; or overload, disrupt, or harm the Service, its providers, or other users. If you find a security problem, please tell us at support@try-chalk.com instead.
• Break the law. Use the Service for anything illegal, or to infringe or violate anyone else's rights, including copyrights and privacy.
• Share harmful material. Send, upload, or try to get the tutor to produce content that is sexual, hateful, harassing, threatening, violent, self-harm related, or otherwise harmful or inappropriate for a learning service used by teens; or upload malware.
• Mistreat others. Harass, bully, or threaten anyone, or share someone else's personal information without their permission.
• Pretend to be someone else. Impersonate another person, or misrepresent who you are or your connection to anyone.

Your school's rules. Chalk is meant to help you understand math, not to do graded work for you. You are responsible for following your school's and teachers' rules about getting help. Do not use Chalk during a test, quiz, or assignment where outside help isn't allowed.

6. How We Enforce These Terms

To keep Chalk safe, working, and fair for everyone, we use automated systems, and sometimes people, to watch for misuse of the Service. This includes detecting attempts to extract the tutor's instructions, automated or unusual traffic, and attempts to get around limits. Information about how you use the Service, including the messages involved, may be recorded for this purpose.

If we reasonably believe you have broken these Terms, or that your use puts the Service, other users, or us at risk, we may, at our discretion and without notice where the situation calls for it: stop or refuse a particular response; limit or pause tutoring on your account; suspend your account; or close your account permanently. Where it is practical and appropriate, we will tell you what happened and how to reach us. If you think we made a mistake, contact support@try-chalk.com.

If we close your account because you broke these Terms, you will not receive a refund for any remaining time or unused messages, except where the law requires one. Purchases made through the App Store are refunded only by Apple, under Apple's policies.

7. Free Session, Free Trial, Plans and Billing

Free session. We may offer a short free tutoring session, limited to a few problems or tutor turns, before you choose a plan. We set its length and may change it.

Free trial. An account that has never had a subscription or a free trial with us can start a 7-day free trial of the Lite monthly plan through the App Store or our web checkout (on the App Store, Apple also decides whether your Apple Account can get it). A payment method is required to start it (on iOS, the payment method on your Apple Account). The trial includes up to 80 tutor messages; once they are used, tutoring pauses until your paid plan begins, unless you start it early or upgrade as described below. Unless you cancel before the trial ends (on the App Store, at least 24 hours before), it converts to the paid plan at its listed price and your payment method is charged. If you start your paid plan early (on the web) or upgrade to a higher plan during the trial, the trial ends and that plan is billed right away. One 7-day free trial per person. Accounts created before September 2, 2026 were first given a short trial on the account itself, with no payment method; they can start the 7-day free trial too, unless they have since subscribed. In every case your account and your whiteboards are kept.

Paid plans. The Service is offered as auto-renewing monthly or yearly subscriptions:

• Lite — $7.99/month or $59.99/year, 150 tutor messages each month. On a yearly plan, the 150 messages start over each month.
• Unlimited — $19.99/month or $119.99/year, with no monthly allowance to keep track of. Unlimited is for one student's own tutoring. To keep the Service available to everyone, it is subject to fair-use limits on unusually heavy use (a very large number of messages in one day, or in one month); if you reach one, tutoring resumes when the limit resets.

Existing Plus subscribers keep their plan, and anyone already subscribed at an earlier price keeps that price. A message is one question or reply you send the tutor (typed, spoken, or from a photo or file), including the tutor's full response. Unused messages do not roll over.

App Store purchases. If you subscribe through the iOS app, Apple collects payment through your Apple Account. Subscriptions renew automatically at the same price for the same period unless you cancel at least 24 hours before the renewal date. You can manage or cancel your subscription in your device's Settings → [your name] → Subscriptions. Refund requests for App Store purchases are handled by Apple under Apple's policies; we cannot issue them.

Web purchases. If you subscribe on the web, our payment processor (Stripe) collects payment. Subscriptions renew each month or year, depending on the plan you chose, until you cancel. You can cancel or change plans at any time from your account page. Canceling takes effect at the end of the current billing period, and you keep access until then. You authorize us, through Stripe, to charge your payment method for each renewal. Except where the law requires otherwise, or where we decide to make an exception, payments are non-refundable, and we do not give refunds or credits for partly used periods or unused messages, apart from the credit for unused time that is applied automatically when you upgrade or switch to a yearly plan. Price and allowance changes. The price in effect when you subscribe applies for the current billing period. We may change prices for future periods with at least 30 days' notice by email or in the app. We may also adjust message allowances, the free session, the free trial, and fair-use limits; when a change reduces what your paid plan includes, we will tell you in the app or by email before it applies to your next billing period. If you don't want the change, cancel before it takes effect; continuing your subscription after it takes effect means you accept it.

8. Your Content

"Your content" means what you put into the Service: your messages, your voice, your handwriting and drawings, and the photos and files you share. You keep ownership of your content. You give us a limited, worldwide, non-exclusive, royalty-free license to host, store, copy, process, and transmit your content, including through our service providers, only as needed to operate and provide the Service to you, keep it secure, and enforce these Terms. This license ends when your content is deleted from our systems, except where the law or the Privacy Policy allows us to keep it longer.

You are responsible for your content. Only share content you have the right to share. Don't share other people's personal information, and don't share your own sensitive information (such as passwords, financial details, or health information); the tutor does not need it.

9. Our Content and Your License to Use Chalk

The Service, including its software, design, tutor, mascots, voices, lessons, text, graphics, and the Chalk name and logos, belongs to Thayes Ventures LLC or its licensors and is protected by copyright, trademark, and other laws. As long as you follow these Terms, we give you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own learning, not for any commercial purpose. Everything we don't expressly grant in these Terms is reserved. You may not use the Chalk name or logos without our written permission.

You may use the explanations, steps, and other output the tutor gives you for your own learning. Output you receive is not unique to you; the tutor may give similar output to others.

Feedback. If you send us ideas, suggestions, or feedback, we may use them for any purpose without paying you or owing you anything.

10. AI-Generated Content

The tutor's replies, voice, drawings, and graphs are generated by AI. AI can be wrong, incomplete, or confidently mistaken. It can misread your handwriting, your photos, or what you said, and it can make arithmetic or reasoning errors. Check important answers against your own work, your textbook, or your teacher. Don't rely on the tutor as your only source for grades, tests, or decisions that matter.

Chalk is a learning aid. It is not a substitute for a qualified teacher, and it does not give medical, mental-health, legal, financial, or other professional advice. No one watches sessions as they happen, so Chalk cannot help in an emergency. If you or someone else is in danger, contact local emergency services right away. In the United States, you can call or text 988 to reach the Suicide & Crisis Lifeline.

11. Third-Party Services

Parts of the Service depend on other companies, including AI providers, Apple, Google, Stripe, and hosting providers. When you use features that rely on them, such as signing in with Google or Apple, or paying through the App Store or Stripe, their own terms and privacy policies also apply. We are not responsible for third-party services, and we don't control them. Links to other websites are provided for convenience only.

12. Apple App Store

If you downloaded Chalk from Apple's App Store, these additional terms apply, and Apple's Licensed Application End User License Agreement also applies:

• These Terms are between you and Thayes Ventures LLC only, not Apple. We, not Apple, are solely responsible for the app and its content.
• Your license to use the app is limited to Apple-branded devices that you own or control, as permitted by the App Store's usage rules.
• Apple has no obligation to provide maintenance or support for the app.
• If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price of the app (if any). To the maximum extent the law allows, Apple has no other warranty obligation for the app.
• We, not Apple, are responsible for addressing any claims by you or any third party relating to the app, including product-liability claims, claims that the app fails to meet legal or regulatory requirements, and consumer-protection, privacy, or similar claims.
• If a third party claims that the app or your use of it infringes their intellectual property rights, we, not Apple, are responsible for the investigation, defense, settlement, and discharge of that claim.
• You confirm that you are not located in a country subject to a U.S. Government embargo, or one designated by the U.S. Government as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
• You must comply with any third-party terms that apply when you use the app, such as your wireless carrier's terms.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and, once you accept them, have the right to enforce them against you as a third-party beneficiary.

13. Ending Your Use of Chalk

You can stop using Chalk at any time, and you can delete your account from the account page in the app or by emailing support@try-chalk.com. Deleting your account cancels a web subscription right away, without a refund for the rest of the period, but it does not cancel an App Store subscription; cancel that in your device's Settings as described in Section 7. Deleting your account in the app also clears the whiteboards stored on that device; copies on your other devices stay there until you clear them.

We may suspend or close your account as described in Section 6. We may also stop offering the Service, or any part of it, at any time. If we shut down the Service entirely, we will give you reasonable notice. Sections 6, 9, 10, and 14 through 18 continue to apply after your account ends.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT THE TUTOR'S OUTPUT WILL BE ACCURATE, OR THAT USING CHALK WILL IMPROVE YOUR GRADES OR TEST SCORES. Some places do not allow certain warranties to be disclaimed, so some of this section may not apply to you.

15. Limitation of Liability

TO THE FULLEST EXTENT THE LAW ALLOWS, THAYES VENTURES LLC AND ITS OWNERS, EMPLOYEES, AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, OR FOR LOWER GRADES OR SCORES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $50.

Some places do not allow these limits, so they may not fully apply to you. Nothing in these Terms limits liability that cannot be limited by law, or takes away rights you have as a consumer that cannot be waived.

16. Indemnity

To the extent the law allows, you agree to defend and hold harmless Thayes Ventures LLC and its owners and employees from claims, losses, and costs (including reasonable attorneys' fees) that arise from your breaking these Terms or misusing the Service. If you are under 18, this applies to your parent or guardian.

17. Disputes and Governing Law

If you have a problem with Chalk, please contact us first at support@try-chalk.com and give us 30 days to try to resolve it informally. These Terms are governed by the laws of the U.S. state in which Thayes Ventures LLC is organized, without regard to its conflict-of-law rules. Any dispute that we cannot resolve informally will be decided by the state or federal courts located in that state, and you and we consent to their jurisdiction, except that either of us may bring a qualifying claim in small-claims court. If you are a consumer living outside the United States, you also keep any protections the laws of your country give you that cannot be waived by contract.

18. General Terms

• Changes to these Terms. We may update these Terms from time to time. When we do, we will change the "Last updated" date above, and for material changes we will tell you in the app or by email before they take effect. If you keep using the Service after the changes take effect, you accept the updated Terms. If you don't agree, stop using the Service and cancel your subscription.
• Electronic communications. You agree that we may communicate with you electronically, by email or in the app, and that these communications satisfy any requirement that they be in writing.
• Copyright complaints. If you believe content on the Service infringes your copyright, send a notice to support@try-chalk.com identifying the work, the material you believe infringes it, and how to contact you. We may remove material and close the accounts of repeat infringers.
• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service and replace any earlier agreements about it.
• Severability and waiver. If any part of these Terms is found unenforceable, the rest stays in effect. Our not enforcing a part of these Terms is not a waiver of our right to enforce it later.
• Assignment. You may not transfer these Terms or your account to anyone else. We may transfer them in connection with a merger, acquisition, or sale of assets, or to an affiliate.
• Events outside our control. We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages at our providers, internet failures, or natural disasters.
